Our client, a reputable mid-sized, multi-service law firm, is seeking a skilled Corporate Law Clerk to join their team. What You Bring: - Minimum 5+ years of direct, relevant, and practical experience in Corporate Law.
- Proficiency with Corporate Manager software.
- Law clerk certification is an asset.
- Solid understanding of corporate statutes and regulations (e.g., CBCA, OBCA, PPSA).
- Exceptional analytical and organizational skills.
- Proven ability to manage multiple priorities effectively.
- Time-conscious, deadline-oriented, and works well under pressure.
- Proficient in MS Office.
- Experience with Legal Kiosk or similar electronic minute book databases is an asset.
- Ability to work independently with minimal supervision while valuing teamwork.
What You'll Be Doing: - Drafting documentation related to annual resolutions, incorporations, amalgamations, financings, dissolutions, etc.
- Conducting minute book reviews and maintaining corporate records and registers.
- Performing corporate searches and analyzing/summarizing search results.
- Handling registrations, discharges, and amendments under applicable PPSA legislation.
- Assisting with corporate reorganizations, share and asset purchase transactions, including:
- Preparing/maintaining closing checklists.
- Reviewing/drafting closing documents such as resolutions and officers’ certificates.
- Preparing closing books and drafting reporting letters.
